Please read these terms carefully before using CulinaOS. By accessing or using our platform, you agree to be bound by these terms.

This document is an electronic record in terms of the Information Technology Act, 2000 and rules thereunder as applicable. This document is published in accordance with the provisions of Rule 3(1) of the Information Technology (Intermediaries Guidelines) Rules, 2011.

The Platform is owned and operated by Exponent Solutions, Gurugram, Haryana — the company behind CulinaOS. By using our platform, you agree to be bound by these Terms.

Terms of Use

  1. To access and use the Services, you agree to provide true, accurate and complete information to us during and after registration, and you shall be responsible for all acts done through the use of your registered account on the Platform.
  2. Neither we nor any third parties provide any warranty or guarantee as to the accuracy, timeliness, performance, completeness or suitability of the information and materials offered on this Platform or through the Services, for any specific purpose. You acknowledge that such information may contain inaccuracies or errors and we expressly exclude liability for any such inaccuracies to the fullest extent permitted by law.
  3. Your use of our Services and the Platform is solely and entirely at your own risk and discretion for which we shall not be liable to you in any manner. You are required to independently assess and ensure that the Services meet your requirements.
  4. The contents of the Platform and the Services are proprietary to us and are licensed to us. You will not have any authority to claim any intellectual property rights, title, or interest in its contents. The contents include and are not limited to the design, layout, look, and graphics.
  5. You acknowledge that unauthorized use of the Platform and/or the Services may lead to action against you as per these Terms of Use and/or applicable laws.
  6. You agree to pay us the charges associated with availing the Services.
  7. You agree not to use the Platform and/or Services for any purpose that is unlawful, illegal or forbidden by these Terms, or Indian or local laws that might apply to you.
  8. You agree and acknowledge that the Platform and the Services may contain links to other third-party websites. On accessing these links, you will be governed by the terms of use, privacy policy and such other policies of such third-party websites.
  9. You understand that upon initiating a transaction for availing the Services you are entering into a legally binding and enforceable contract with CulinaOS for the Services.
  10. You shall indemnify and hold harmless CulinaOS, its affiliates, group companies and their respective officers, directors, agents, and employees, from any claim or demand, or actions including reasonable attorney's fees, made by any third party or penalty imposed due to or arising out of your breach of these Terms of Use, Privacy Policy and other Policies, or your violation of any law, rules or regulations or the rights of a third party.
  11. Notwithstanding anything contained in these Terms of Use, the parties shall not be liable for any failure to perform an obligation under these Terms if performance is prevented or delayed by a force majeure event.
  12. These Terms and any dispute or claim relating to it, or its enforceability, shall be governed by and construed in accordance with the laws of India.
  13. All disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in the jurisdiction where CulinaOS is registered.
  14. All concerns or communications relating to these Terms must be communicated to us using the contact information provided on this website.

Account & Registration

  1. You must register and maintain an active account to use most features of the CulinaOS platform. You are responsible for keeping your login credentials confidential.
  2. You agree to notify us immediately of any unauthorized use of your account. CulinaOS will not be responsible for any losses arising from unauthorized use of your account.
  3. You may not create more than one account per organization without prior written approval from CulinaOS.
  4. We reserve the right to suspend or terminate accounts that violate these Terms or that we determine, at our sole discretion, are being used in an abusive or harmful manner.

Subscription & Payments

  1. Access to CulinaOS is provided on a subscription basis. By subscribing, you agree to pay the applicable fees as listed on our pricing page.
  2. Subscription fees are billed in advance — monthly, half-yearly, or annually depending on your selected plan.
  3. All fees are exclusive of applicable taxes (including GST). You are responsible for payment of all such taxes.
  4. We reserve the right to change our pricing at any time. We will notify you with at least 30 days' notice before any price increase takes effect.
  5. Failure to pay subscription fees may result in suspension or termination of your account and access to the Services.

Intellectual Property

  1. All content, trademarks, service marks, trade names, logos, branding, and software on the CulinaOS platform are the exclusive property of Exponent Solutions or its licensors.
  2. You are granted a limited, non-exclusive, non-transferable licence to use the platform solely for your internal business purposes.
  3. You may not copy, modify, distribute, sell, or lease any part of the platform or its content, nor may you reverse engineer or attempt to extract the source code of our software.

Limitation of Liability

  1. To the maximum extent permitted by applicable law, CulinaOS shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.
  2. Our total liability in connection with the Services shall not exceed the amount paid by you to CulinaOS in the 3 months immediately preceding the event giving rise to the claim.
  3. CulinaOS does not warrant that the Services will be uninterrupted, error-free, or completely secure.

Termination

  1. You may terminate your account at any time by contacting our support team or through your account settings.
  2. CulinaOS reserves the right to suspend or terminate your access to the Services at any time, with or without notice, if you breach these Terms.
  3. Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive.

Changes to These Terms

  1. CulinaOS reserves the right to modify these Terms at any time. We will notify you of significant changes via email or a prominent notice on our Platform.
  2. Your continued use of the Platform after changes are posted constitutes your acceptance of the modified Terms.
  3. If you do not agree to the modified Terms, you must stop using the Platform and cancel your subscription.
